Terms of Service

By using Particulars ("the service"), you agree to these terms. If you don't agree, don't use the service. The service is operated by Particulars and Universals, Inc., a Delaware corporation; questions go to clay@cpj.fyi.

Your account

You sign in with email. You are responsible for the email address tied to your account and for the actions taken from your account. If you suspect unauthorized access, email us.

Your content

You own the charters you write. You grant us a limited license to host, display, and back up that content — including its version history — as needed to operate the service. You can export your content at any time and delete it at any time. We don't claim any ownership of it.

Acceptable use

Don't use the service to:

  • Violate the law or someone's rights.
  • Send spam, malware, or attempt to breach the service.
  • Attempt to access another org's data, or another user's account, without permission.
  • Reverse-engineer the service except as permitted by law.
  • Harass, defame, or harm others.

Slack integration

If you connect Slack, you must have authority to grant the requested scopes for that workspace. Don't connect a workspace you don't have permission to act in.

AI features

Drafts, reviews, the decision radar, and the coaches are AI-generated and may be wrong. They are suggestions, not the record — nothing they produce becomes part of a charter or decision log until a person confirms it. You are responsible for reviewing what you publish.

Connected agents

A charter editor can connect an AI agent to a charter. The agent reads that charter through a token you create. Treat tokens like passwords, revoke them from the charter's Agents tab when they're no longer needed, and understand that what your agent does with the content is your responsibility.

Public charters

Publishing a charter at a public link makes it readable by anyone with the URL. Don't publish content you don't have the right to share.

Pricing and billing

Plans are described at /pricing. Paid plans are priced per member per month: your subscription quantity follows your member list automatically, with prorations handled by Stripe. There are no metered or overage charges. If payment fails, we retry for a while; if it stays unpaid, an org over its free limits becomes read-only — your data stays intact and exportable throughout. We may change pricing or features going forward, with reasonable notice for paid plans.

Cancellation

You can cancel a paid plan at any time, no notice or penalty. Accounts and orgs can be deleted at any time from settings.

Disclaimers

The service is provided as is, without warranties of any kind. We don't guarantee uptime, fitness for a particular purpose, or absence of errors.

Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the service is limited to the amount you paid us in the twelve months before the claim, or USD $100, whichever is greater.

Termination

We may suspend or terminate accounts that violate these terms. We'll try to notify you first when reasonable.

Governing law

These terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules.

Changes to these terms

We may update these terms. Material changes will be announced on the service or via email. Continued use after a change means you accept the updated terms.
